3. Payment Terms
Clients are required to pay all invoices within [14] days of receipt unless otherwise agreed upon in writing. Late payments may incur a fee of 10% per month on overdue balances. We reserve the right to suspend services if payments are not made within the stipulated period.
4. Confidentiality
Both parties agree to keep all confidential information received during the course of the engagement strictly confidential. “Confidential Information” means any non-public information disclosed by one party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects.
5. Intellectual Property
All intellectual property rights relating to our services, methodologies, reports, and deliverables remain the property of The Productivity Office. Clients are granted a non-exclusive, non-transferable license to use any deliverables for internal business purposes only.
6. Limitation of Liability
To the fullest extent permitted by law, The Productivity Office shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) unauthorised access, use, or alteration of your data.
7. Termination
Either party may terminate the consultancy engagement by providing 60 days written notice. Upon termination, the client will be responsible for paying all fees for services rendered up to the termination date.
8. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Amendments
The Productivity Office reserves the right to amend or update these Terms and Conditions at any time without prior notice. Continued use of our services after any changes constitutes acceptance of the new terms.
